Software License Agreement

1. License Grant

Sincron Inteligência e Automação Digital Ltda ("we", "us", or "our") grants you a limited, non-exclusive, non-transferable, revocable license to use the Whisper Dictator software ("Software") subject to the terms of this agreement.

This license allows you to:

• Install the Software on devices you own or control, up to the number permitted by your license type
• Use the Software for personal or commercial purposes
• Receive updates and bug fixes during your license period

2. License Types

Free Tier: Limited to 7 transcriptions per day. All features are available. No payment required.

Annual License ($39.99/year): Unlimited transcriptions. Valid for one year from purchase date. Can be used on up to 2 devices simultaneously.

Lifetime License ($99 one-time): Unlimited transcriptions forever. Includes all future updates. Can be used on up to 3 devices simultaneously.

3. Refund Policy

We offer a 7-day refund policy for paid licenses. If you are not satisfied with the Software, you may request a full refund within 7 days of purchase by contacting us at [email protected].

To be eligible for a refund:

• The request must be made within 7 days of the original purchase date
• You must provide the email address used for the purchase
• After the refund is processed, your license will be deactivated

Refunds are processed within 5-10 business days and will be credited to the original payment method.

4. Restrictions

You may NOT:

• Copy, reproduce, or duplicate the Software except for backup purposes
• Modify, adapt, translate, or create derivative works based on the Software
• Reverse engineer, decompile, disassemble, or attempt to derive the source code
• Distribute, sell, lease, rent, or sublicense the Software to third parties
• Remove or alter any proprietary notices, labels, or marks
• Transfer your license to another person without our written consent
• Circumvent or disable any license validation or security features
• Use the Software for any illegal purpose

5. Intellectual Property

The Software, including all copies, modifications, and derivative works, is the exclusive property of Sincron Inteligência e Automação Digital Ltda and is protected by copyright laws and international treaties.

This license does not grant you any ownership rights. You are licensing the right to use the Software, not purchasing it.

6. Third-Party Components

The Software incorporates open-source components that are subject to their own licenses:

• Whisper.cpp: MIT License - Speech recognition engine
• Electron: MIT License - Application framework
• Other dependencies: Various open-source licenses (MIT, Apache 2.0, etc.)

These components retain their original licenses. Our license terms apply only to our proprietary code and the Software as a whole.

7. Data Processing

All audio processing occurs locally on your device. We do not transmit, store, or have access to your audio recordings or transcriptions.

For license validation, we collect minimal data as described in our Privacy Policy.

8. Updates

We may release updates, patches, or new versions of the Software. Paid license holders receive all updates during their license period (Annual) or forever (Lifetime).

We reserve the right to modify, discontinue, or release new versions of the Software at any time.

9. Termination

This license is effective until terminated. It will terminate automatically if you:

• Violate any term of this agreement
• Fail to renew an Annual license (for paid features)
• Request termination by contacting us

Upon termination, you must cease all use and destroy all copies of the Software.

10. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Software will be error-free, uninterrupted, or meet your specific requirements. Transcription accuracy may vary based on audio quality, accents, background noise, and other factors.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL SINCRON INTELIGÊNCIA E AUTOMAÇÃO DIGITAL LTDA BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

Our total liability shall not exceed the amount you paid for the Software in the twelve (12) months preceding the claim.

12. Governing Law

This agreement shall be governed by and construed in accordance with the laws of Brazil, without regard to conflict of law principles. Any disputes shall be resolved in the courts of São Joaquim da Barra, SP, Brazil.

13. Changes to This Agreement

We reserve the right to modify this license agreement at any time. Changes will be effective upon posting to our website. Continued use of the Software after changes constitutes acceptance of the new terms.
